INSTAPARTY VENDOR TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of the Instaparty platform as a vendor (“Vendor”), including any websites, mobile applications, APIs, or related services (collectively, the “Services”), operated by Instaparty, Inc. (“Instaparty”).

By using the Services, you agree to be bound by these Terms.

Instaparty is a marketplace platform that connects vendors with planners. Vendors are independent service providers and not employees, partners, or agents of Instaparty.  

1. Vendor Accounts

You agree to provide accurate business information, pricing, and service details. You are responsible for maintaining your account and all activity under it.

2. Services & Listings

- You control your service offerings and pricing

- You are responsible for fulfilling booked services

- You must honor confirmed bookings

Instaparty does not guarantee bookings or leads.

3. Bookings & Payments

Instaparty facilitates bookings between planners and vendors.

- Payments are processed through third-party providers (e.g., Stripe)

- Funds may be held until after service completion

- Vendors agree to fulfill services as described

4. Booking Fees

Instaparty charges a platform booking fee of 5% to vendors and 5% to planners for each completed booking.

For vendors:

- The 5% booking fee is deducted from payouts or reflected in transaction records

For planners:

- The 5% booking fee is added at checkout

By accepting bookings, vendors agree to this fee structure.

5. Payouts

Vendors will receive payouts after the event is completed, subject to any applicable holding period, disputes, or adjustments.

Instaparty may delay or withhold payouts in cases of disputes, fraud, or policy violations.

6. Cancellation & Refunds

Vendors define their cancellation and refund policies.

Vendors agree to honor their stated policies. Instaparty may assist in dispute resolution but is not responsible for vendor policies.

7. Vendor Responsibilities

You agree to:

- Provide services professionally and safely

- Communicate through the platform

- Not bypass Instaparty for payments or bookings

8. Prohibited Conduct

You may not:

- Share contact details to avoid platform fees

- Engage in fraudulent activity

- Misrepresent services

Instaparty may suspend or remove accounts for violations.

9. Third-Party Relationship

Vendors are independent contractors. Instaparty does not control how services are performed.

10. Disclaimer

Instaparty provides the platform “as is” and makes no guarantees regarding:

- Number of bookings

- Earnings

- Platform availability

11. Limitation of Liability

Instaparty is not liable for any indirect or consequential damages related to your use of the platform.

12. Indemnification

You agree to indemnify Instaparty from claims arising from your services, actions, or violations of these Terms.

13. Dispute Resolution

All disputes will be resolved through binding arbitration on an individual basis.

14. Termination

Instaparty may suspend or terminate your account at any time.

15. Governing Law

These Terms are governed by the laws of the State of California.

16. Changes to Terms

Instaparty may update these Terms at any time.
