INSTAPARTY TERMS OF SERVICE
These Terms of Service (“Terms”) govern your use of the Instaparty services, including any websites, mobile applications, APIs, or related services (collectively, the “Services”), operated by Instaparty, Inc. (“Instaparty”).
By using the Services, you agree to be bound by these Terms and acknowledge and agree to the collection, use, and disclosure of your information in accordance with Instaparty’s Privacy Policy.
Instaparty is a marketplace platform that connects planners with independent vendors. Instaparty does not perform, supervise, or control the services provided by vendors.
1. Use of the Services
Instaparty grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services in accordance with these Terms.
You agree to:
- Use the platform only for lawful purposes
- Provide accurate information
- Maintain the security of your account
Instaparty may suspend or terminate your access at any time for violations of these Terms.
2. Accounts & Responsibilities
You are responsible for all activity under your account. You agree to keep your login credentials secure.
If you are using the Services on behalf of a business, you represent that you have authority to bind that entity.
3. Booking & Payments
Instaparty facilitates bookings between planners and vendors.
- Vendors set their own pricing for services
- Planners agree to pay the full amount shown at checkout
- Payments are processed through third-party payment providers (e.g., Stripe)
Instaparty does not guarantee the quality, availability, or performance of any vendor.
4. Booking Fees
Instaparty charges a platform booking fee of 5% to planners and 5% to vendors for each completed booking made through the Services.
For planners:
- The 5% booking fee is added at checkout
- The fee is clearly displayed before payment is submitted
- The fee is separate from the vendor’s service price and taxes
For vendors:
- The 5% booking fee is deducted from payouts or reflected in transaction records
By completing a booking, both planners and vendors agree to this fee structure.
5. Cancellations & Refunds
Cancellation and refund policies are defined by each vendor and displayed at the time of booking.
Instaparty may assist in facilitating refunds but is not responsible for vendor-specific policies.
6. Third-Party Services
Vendors are independent third parties and are not employees, partners, or agents of Instaparty.
Instaparty is not responsible for:
- Vendor performance
- Service quality
- Any disputes between users
7. User Conduct
You agree not to:
- Circumvent the platform for payments
- Share contact information to avoid fees
- Use the platform for fraudulent or abusive behavior
Instaparty reserves the right to monitor and restrict accounts as needed.
8. Communications
By creating an account, you agree to receive communications from Instaparty, including emails, SMS, and push notifications.
You may opt out of non-essential communications at any time.
9. Errors & Corrections
Instaparty reserves the right to correct any errors, inaccuracies, or omissions and to cancel or modify bookings if necessary.
10. Disclaimer of Warranties
The Services are provided “as is” and “as available.”
Instaparty makes no guarantees regarding:
- Vendor reliability
- Service outcomes
- Platform availability
11. Limitation of Liability
To the maximum extent permitted by law, Instaparty is not liable for any indirect, incidental, or consequential damages arising from your use of the Services.
12. Indemnification
You agree to indemnify and hold harmless Instaparty from any claims arising from:
- Your use of the Services
- Your interactions with vendors
- Your violation of these Terms
13. Dispute Resolution & Arbitration
Any disputes shall be resolved through binding arbitration on an individual basis.
You waive the right to participate in class actions or jury trials.
14. Termination
Instaparty may terminate or suspend your account at any time without notice.
15. Governing Law
These Terms are governed by the laws of the State of California.
16. Changes to Terms
Instaparty may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.
